(2) These General Terms and Conditions apply to contractual relationships between LSR LEADING SPA HOTELS & RESORTS GmbH and business customers, in particular hotels, resorts and accommodation providers, who make use of Longevity Resorts’ presentation, marketing, membership, listing or other services.

(3) These General Terms and Conditions apply exclusively to business customers.

(4) Any deviating terms and conditions of the customer shall only apply if LSR LEADING SPA HOTELS & RESORTS GmbH has expressly agreed to their application.

(5) In the event of any conflict, individual agreements, quotations and order confirmations shall take precedence over these General Terms and Conditions.

(3) The scope of services may include, in particular:

  • Publication and presentation of the hotel or resort on www.longevityresorts.com,

  • links to the website or booking options of the respective hotel,
  • Forwarding of guest enquiries, enquiries about offers and booking enquiries,
  • Participation in group enquiries,
  • Integration of a booking interface,
  • editorial and promotional content,
  • Marketing and communication activities,

(4) Payment for membership or listing is generally made via a fixed annual fee.

(5) Longevity Resorts does not charge the hotel a booking commission for hotel bookings made via www.longevityresorts.com.

(6) The agreed annual fee is payable regardless of the number of page views, enquiries, redirects or bookings generated via www.longevityresorts.com.

(7) Longevity Resorts does not guarantee any specific commercial success. In particular, no specific number of page views, enquiries, bookings, overnight stays, guests or turnover is guaranteed.

§ 3 Bookings and Booking Enquiries

(1) Where individual partner establishments offer a direct booking option or technical booking interface via www.longevityresorts.com, Longevity Resorts shall provide the platform or technical connection to the booking facility of the respective hotel or to a booking system used by the hotel.

(2) The accommodation or booking contract is concluded exclusively between the guest and the respective hotel or resort. Longevity Resorts or LSR LEADING SPA HOTELS & RESORTS GmbH shall not be a party to the accommodation contract.

(3) The respective hotel is responsible for prices, availability, room categories, programmes, packages, service descriptions, booking, payment and cancellation terms, as well as any other booking-related information.

(4) Payments by the guest for booked hotel or resort services are not made to Longevity Resorts, but directly to the respective hotel or via the booking or payment system used by the hotel.

(5) The hotel is obliged to ensure that the information provided via booking interfaces or other technical systems, in particular prices and availability, is accurate, complete and up to date.

(6) In the case of enquiries regarding offers, bookings or group bookings, Longevity Resorts provides the technical means to submit an enquiry to one or more hotels.

(7) An enquiry does not constitute a confirmed booking.

(8) Longevity Resorts does not guarantee that a booking will actually be made as a result of an enquiry, referral or the use of a booking facility.

(9) No booking commission is payable to the hotel for bookings made via www.longevityresorts.com.

§ 4 Obligations of the partner hotel

(1) The hotel or resort shall provide Longevity Resorts with all information, texts, prices, contact details, logos, photographs, videos and other content required for the agreed presentation in a timely manner and in a suitable format.

(4) Longevity Resorts must be notified immediately of any material changes, or such changes must be updated in the systems provided for this purpose.

(5) The customer warrants that they hold all necessary rights to the content provided.

(6) For the duration of the collaboration, the customer grants LSR LEADING SPA HOTELS & RESORTS GmbH the non-exclusive rights of use to the content provided that are necessary for the fulfilment of the contract.

(7) These rights of use include, in particular, the use of the content on www.longevityresorts.com and within the framework of agreed marketing, advertising, social media and communication measures for Longevity Resorts.

(8) The customer is obliged to pay the agreed annual fee and any expressly agreed additional services on time.

§ 5 Responsibility for health and longevity services

(1) The respective provider of these services is solely responsible for all longevity, health, preventative, wellness, therapeutic, diagnostic, treatment and other services offered by the respective partner hotel.

(2) The partner hotel guarantees that the descriptions of its services provided by it are accurate and not misleading.

(3) Where certain services are subject to statutory, regulatory, professional or other requirements, the respective partner hotel is responsible for ensuring compliance with them.

(4) This applies in particular to any necessary authorisations, qualifications, licences and other legal requirements relating to the services offered by the partner hotel or its service providers.

(6) Longevity Resorts gives no guarantee to guests regarding specific health, medical or therapeutic outcomes of the services offered by partner establishments.

§ 6 Conclusion of Contract

(1) Offers made by Longevity Resorts are subject to change without notice, unless they are expressly designated as binding.

(2) An order form submitted by the customer or a corresponding placing of an order constitutes an offer to conclude a contract.

(3) The contract is concluded upon confirmation of the order, the signing of a corresponding agreement or the commencement of the agreed provision of services by LSR LEADING SPA HOTELS & RESORTS GmbH.

(4) Electronic communications and order confirmations, in particular by email, are permitted.

§ 7 Prices, Invoicing and Due Dates

(1) The prices agreed in the relevant quotation or in the order confirmation shall apply.

(2) Unless otherwise stated, all prices are net, plus the applicable statutory value added tax.

(3) LSR LEADING SPA HOTELS & RESORTS GmbH is entitled to send invoices electronically, in particular by email.

(4) The agreed annual fee is due in accordance with the payment terms stated on the invoice.

(5) In the event of a contract extension, the fee for the respective new contract period shall become due.

(6) The annual fee remains payable regardless of the commercial success of the listing and, in particular, regardless of the number of page views, enquiries, redirects, bookings or overnight stays.

(7) No booking commission is payable to the partner hotel for hotel bookings made via www.longevityresorts.com.

§ 8 Term of the contract and termination

(1) The contract is concluded for the individually agreed term.

(2) Unless otherwise agreed, the contract term is twelve months.

(3) The start of the contract term is set out in the individual agreement or order confirmation.

(5) The notice period agreed in the relevant contract or order confirmation shall apply to ordinary termination.

(6) The right of both parties to terminate the contract extraordinarily for good cause remains unaffected.

(7) Notices of termination may be given in writing or in text form, in particular by email.

§ 9 Default on Payment

(1) In the event of late payment, the statutory provisions shall apply.

(2) Following an unsuccessful reminder and the setting of a reasonable grace period, LSR LEADING SPA HOTELS & RESORTS GmbH may temporarily suspend its services until payment has been received in full.

(3) In particular, the hotel’s listing on www.longevityresorts.com may be temporarily deactivated or the use of individual services restricted.

(4) The agreed contract term shall not, as a matter of principle, be extended as a result of a temporary suspension due to late payment.

§ 10 Third-Party Content and Rights

(1) The customer warrants that the content and information provided by them do not infringe either applicable law or the rights of third parties.

(2) This applies in particular to copyright, trade marks, trade names, personality rights and other intellectual property rights.

(3) In particular, the customer warrants that they hold the necessary rights to use and distribute the images, videos, texts, logos and other materials provided.

(4) Longevity Resorts is entitled to reject, block or remove content if there are concrete indications of a breach of the law or an infringement of third-party rights.

(5) Longevity Resorts is under no general obligation to carry out a legal, medical or technical review of the content provided by the customer.

§ 11 Indemnification

(1) If LSR LEADING SPA HOTELS & RESORTS GmbH is lawfully held liable by third parties as a result of content provided by the customer or a legal infringement for which the customer is responsible, the customer shall indemnify LSR LEADING SPA HOTELS & RESORTS GmbH against such claims to the extent permitted by law.

(2) This also includes reasonable and necessary costs of legal defence.

(3) The customer must inform Longevity Resorts without delay of any circumstances of which they become aware that could give rise to such a claim.

§ 12 Design and Further Development of the Platform

(1) Longevity Resorts is entitled to further develop and modify the design, structure, functions and technical implementation of www.longevityresorts.com, provided that this does not unreasonably impair any essential contractually agreed services.

(2) There is no entitlement to the design, layout or technical presentation remaining unchanged throughout the entire term of the contract, unless a specific presentation has been expressly agreed.

(3) Longevity Resorts may introduce new functions and may amend or replace existing functions, provided that the essential purpose of the contract is maintained.

(4) In the event of the permanent discontinuation of an essential service for which payment has already been made in advance, an appropriate pro rata credit or refund shall be issued for the remaining term for which the service is no longer provided, provided that no equivalent replacement service is offered.

§ 13 Technical Availability and Force Majeure

(1) Longevity Resorts shall endeavour to ensure a high level of availability of the platform. It is not obliged to ensure availability at all times or without any interruptions whatsoever.

(2) Temporary restrictions may occur, in particular, due to maintenance work, technical faults, failures of communication networks or external service providers, as well as due to force majeure.

(3) Events beyond the reasonable control of LSR LEADING SPA HOTELS & RESORTS GmbH shall release the company from its affected performance obligations for the duration and to the extent of their effects, insofar as this is permitted by law.

§ 14 Liability

(1) LSR LEADING SPA HOTELS & RESORTS GmbH shall be liable in accordance with the mandatory statutory provisions.

(2) The respective partner hotel is generally responsible for any information, prices, availability, programmes, treatments or other details provided by that partner hotel or its technical systems.

(3) Longevity Resorts accepts no liability for the actual provision or success of the accommodation, longevity, health, wellness, catering or other services offered by the partner hotel to guests.

(4) Where a contract for accommodation or other services is concluded directly between a guest and a partner hotel or a service provider working there, the proper performance of the contract and any resulting claims are, as a general rule, the responsibility of the respective contracting parties.

(5) Longevity Resorts shall not be liable for any specific commercial success arising from the presentation, in particular for a specific number of bookings, enquiries, overnight stays or turnover.

(6) Mandatory statutory liability provisions remain unaffected.

§ 15 Quality Requirements and Brand Image

(1) Longevity Resorts positions itself as a platform and network for selected hotels and resorts with a focus on longevity and related services.

(2) The inclusion and continued presentation of a partner hotel may be made conditional upon the fulfilment of the quality requirements applicable to membership in each case.

(3) The partner establishment undertakes to inform Longevity Resorts of any significant changes that may be relevant to the fulfilment of these quality requirements.

(4) In the event of significant or persistent deviations, Longevity Resorts may request the partner hotel to provide a statement or rectify the situation within a reasonable period.

(5) The right to terminate the agreement for cause remains unaffected.

§ 16 Confidentiality

(1) Both contracting parties undertake to treat as confidential any confidential business information of the other party that comes to their knowledge in the course of their cooperation.

(2) This shall not apply to information which is already in the public domain, which becomes publicly known without any breach of this obligation, or which must be disclosed due to statutory, judicial or regulatory obligations.
